Provide expert contractual advice, negotiate and draft a wide range of diverse complex contractual agreements based on varied business models with customers, vendors and partners in alignment with relevant laws and internal OMA Policies and Directives.
Provide legal opinions, legal interpretations and recommendations on issues related to labour & employment laws litigation commercial laws transfer of property, intellectual property, SPA etc
Advise on contracts, understanding prevailing legal risks and liabilities associated with existing contracts and implementing mitigation strategies for future
Independently handle and correspond with business units for all types of contractual requirements, legal advice, defining business models, sensitizing on legal risks, implications of new laws and process requirements
Work closely with all functional groups, other corporate departments and within the global legal group [including regional and subject matter legal experts) while drafting contracts and providing legal advisory to the assigned business units
Keep abreast of industry specific regulations and proactively communicate to Business units on laws and regulations that have an impact on the Business units assigned and contributing to the enhancement of the knowledge base within the legal function.
Create and provide a high-quality legal partnership with OMA's Business Units by understanding its business, issues, strategies and legal requirements.
Ensure that contracts and proposals are properly entered into organizational databases and securely maintained
Identify and implement best practices and projects for the legal team, including on IT tool requirements, contract management, process improvement, projects having a cross functional impact, etc.
Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.
Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments and provide legal, financial, and/or strategic advice during and outside of meetings.
Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the board and committee.
Maintain statutory books, including registers of members, directors, and secretaries.
Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
Transfer of shares Resident to NRI and vice versa.
Liaise with external regulators and advisers such as lawyers and auditors.
Maintaining current awareness about company law and other statutory laws
Filing statutory forms with ROC, NCLT, RBI(FEMA) and other government authorities such as AOC-4, MGT-7, MGT-14, DIR-3 KYC, ADT-1, ADT-4, INC-22, INC-28, SH-4, FC-TRS, FC-GPR, FLA, etc.
Take an active role and provide valuable input to the management decisions related to sharing issues, mergers, and takeovers.
The principal goal will be to guarantee that all OMA’s transactions comply with state laws and regulations, while actively helping our company avoid possible legal risks and violations
Other duties will include consulting and leading all corporate legal processes such as mergers, compliance issues/ transactions, partnerships and lawsuit
Qualifications
Min. 02-06 years of experience in related field
Excellent presentation skills and command in business communication
Think strategically and out the box to address customer needs
Customer relations management and strong networking ability
Experience with lead generation and prospect management
